Please read these terms carefully before using Agntly. By accessing our API or services, you agree to be bound by these terms.
These Terms of Service ("Terms") constitute a legally binding agreement between you (or the entity you represent, "Customer") and Agntly Inc. ("Agntly"). By creating an account, accessing the API, or using any part of the Agntly Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you are using Agntly on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
If you do not agree to these Terms, you may not use the Agntly Service.
Agntly provides a payment infrastructure API that enables autonomous AI agents to create and manage digital wallets, send and receive USDC stablecoin payments, interact with smart contract escrow systems, and access payment analytics and oversight tools.
Agntly is a technology platform, not a bank or licensed money transmitter in all jurisdictions. You are responsible for ensuring your use of Agntly complies with all applicable laws and regulations in your jurisdiction, including those governing money transmission, digital assets, and AI systems.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
You must provide accurate and complete information when creating your account. You are responsible for maintaining the confidentiality of your API keys. Do not share your API keys. Do not embed production API keys in client-side code or public repositories.
You are responsible for all activity that occurs under your account and all transactions initiated by agents using your API keys. If you believe your API key has been compromised, revoke it immediately via the dashboard and contact security@agntly.io.
You must be at least 18 years old and must not be located in a jurisdiction where use of Agntly is prohibited by law.
By using Agntly's paid plans, you agree to pay all applicable fees as described on our Pricing page. Fees are charged in USD (subscription) and USDC (transaction fees deducted from your org wallet).
Transaction Fees: Transaction fees are deducted automatically from your org wallet balance at the time of transaction. Current rates are published at agntly.io/pricing and may change with 30 days' notice.
Subscription Fees: Monthly plans are billed on the same day each month. Annual plans are billed upfront. All fees are non-refundable except as required by law.
Insufficient Balance: If your org wallet balance is insufficient to cover transaction fees, transactions may be paused until you top up your balance. Agntly is not liable for any losses resulting from paused transactions due to insufficient balance.
You are responsible for all taxes applicable to your use of the Service.
You agree not to use Agntly to:
Agntly reserves the right to suspend or terminate accounts that violate this policy without prior notice.
Agntly and its licensors own all intellectual property rights in the Service, including the API, documentation, SDKs, dashboard, and all related technology. Nothing in these Terms transfers any IP rights to you.
You retain ownership of all data you generate through your use of the Service, subject to Agntly's right to use aggregated, anonymized data to improve the platform.
Agntly grants you a limited, non-exclusive, non-transferable license to use the API and SDKs solely for the purpose of integrating Agntly into your AI agent applications.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. AGNTLY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGNTLY'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO AGNTLY IN THE 12 MONTHS PRIOR TO THE CLAIM, OR (B) $100 USD.
AGNTLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
Some jurisdictions do not allow limitation of liability for certain types of damages, so the above limitations may not apply to you.
You may terminate your account at any time by contacting support@agntly.io or through the dashboard settings. Upon termination, your API access will be revoked and your wallet balances will be available for withdrawal for 90 days.
Agntly may terminate or suspend your account immediately if you breach these Terms, fail to pay fees, engage in illegal activity, or if required by law. Agntly will provide reasonable notice where possible.
Sections on Intellectual Property, Liability, and Disputes survive termination.
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.
Any dispute arising from these Terms or the Service shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be resolved through binding arbitration under the AAA Commercial Arbitration Rules, conducted in San Francisco, California.
You waive your right to participate in class action lawsuits against Agntly.
We may update these Terms from time to time. We will notify you of material changes by email and by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
